Gecić Law Contributes to Chambers Corporate Governance 2025 Guide for Serbia

Gecić Law is proud to announce its contribution to the 2025 edition of the Chambers Global Practice Guides, authoring the Serbia chapter of the Corporate Governance: Trends & Developments section.

  • The implementation of the Act on Management of Companies Owned by the Republic of Serbia.  The government designed the reform to modernize state-owned enterprises through corporatization and centralized oversight.

  • Amendments to the Company Act introduce new rules for cross-border corporate transformations, aligning Serbian legislation with EU Directives.  These changes also enable the use of European corporate forms such as the Societas Europaea (SE) and European Economic Interest Groupings (EEIGs).

As Serbia accelerates its EU accession journey, the corporate governance framework is evolving to meet European standards.  The guide outlines how this process fosters transparency, sustainability, and investor confidence.  It also highlights challenges—particularly for SMEs.  They must scale up compliance, adopt modern governance tools, and align with new digital and ESG mandates to stay competitive.

The article finally concludes with a forward-looking perspective.  Serbia is transitioning from traditional corporate governance structures to more advanced, globally harmonized systems.  The result is a business environment that is more predictable, transparent, and conducive to both domestic growth and cross-border investment.
